Terms of Use for Huddle

Welcome to Huddle ("the App"). These Terms of Use ("Terms") govern your use of the App. By accessing or using the App, you agree to be bound by these Terms. If you do not agree with these Terms, please refrain from using the App.

1. Account Creation and Eligibility

1.1 Account Creation: To use certain features of the App, you must create an account. You agree to provide accurate and complete information during the registration process and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials.

1.2 Eligibility: By using the App, you represent and warrant that you are at least 18 years old or the legal age of majority in your jurisdiction. If you are using the App on behalf of an organization, you represent and warrant that you have the necessary authority to bind the organization to these Terms.

2. User Conduct

2.1 Appropriate Use: You agree to use the App in compliance with all applicable laws, regulations, and these Terms. You shall not use the App in any manner that violates the rights of others, including but not limited to infringing intellectual property rights or engaging in unlawful, harmful, or fraudulent activities.

2.2 Prohibited Content: You shall not upload, post, transmit, or share any content that is illegal, offensive, abusive, harassing, defamatory, or otherwise objectionable. Huddle reserves the right to remove or disable any content that violates these Terms or is deemed inappropriate.

2.3 Prohibited Actions: You shall not engage in any action that could disrupt or interfere with the functioning of the App or compromise its security. This includes attempting to gain unauthorized access to the App or its systems, or using the App to distribute malware or engage in hacking or other malicious activities.

3. Intellectual Property Rights

3.1 Ownership: Huddle retains all rights, title, and interest in and to the App, including all intellectual property rights associated with it. These Terms do not grant you any ownership or license rights to the App or its content.

3.2 User Content: By posting or submitting any content to the App, you grant Huddle a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, distribute, and display the content for the purposes of providing and promoting the App.

5. Disclaimer of Warranties

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. HUDDLE DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HUDDLE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING FROM YOUR USE OF THE APP.

7. Indemnification

You agree to indemnify and hold Huddle and its officers, directors, employees, and agents harmless from any claims, demands, losses, liabilities, costs, or expenses, including reasonable attorneys' fees, arising out of or related to your use of the App, violation of these Terms, or infringement of any third-party rights.

8. Modifications and Termination

Huddle reserves the right to modify or discontinue the App or these Terms at any time, without prior notice. Huddle may also terminate or suspend your access to the App for any reason, without liability. Upon termination, your rights granted under these Terms will cease.

9. Governing Law and Dispute Resolution
